1. Acceptance of Terms

These Terms of Use ("TOU") are a binding legal agreement between you and D&R Auto Shippers ("D&R," "we," "us," or "our") that govern your use of our website at www.drautoshippers.net (the "Site") and the content contained therein ("Site Content"). By accessing or using this Site, you acknowledge that you have read, understand, and agree to these TOU. If you do not agree to be bound by these TOU, do not use the Site.

If you are an employee or agent of an organization, by using our Site, you represent and warrant that you are authorized to agree to these TOU on behalf of the organization.

Arbitration Notice: Section 10 of these TOU contains a mandatory arbitration clause and class action waiver. By accessing the Site, you agree to resolve disputes through binding arbitration on an individual basis. Please review Section 10 carefully.

Additional Terms: If you have engaged D&R Auto Shippers for vehicle transportation broker services, your use of such services is also governed by our Terms of Service. Our collection and use of personal data is described in our Privacy Policy.

2. Modifications

These TOU may be modified at any time by us, without advance notice, upon posting of the modified TOU on this page. Each use of the Site by you shall constitute your acceptance of the then-current TOU. Please review these TOU regularly.

3. Intellectual Property and Ownership

All Site Content, including text, graphics, logos, images, software, and the design and arrangement thereof, is the property of D&R Auto Shippers or its content suppliers and is protected under applicable copyright, patent, trademark, and other intellectual property laws of the United States and other countries. You may not copy, modify, distribute, transmit, display, reproduce, publish, license, or create derivative works from any Site Content without our prior written consent.

4. General Audience

This Site is intended for a general audience and does not target users younger than 18 years of age. If you are younger than 18, please do not use this Site or submit any information to us.

5. Site Use License

D&R Auto Shippers grants you a limited, revocable, non-exclusive license to use this Site and access Site Content solely for your own personal, non-commercial use. This license does not include the right to republish, distribute, sublicense, sell, or prepare derivative works from Site Content. The Site and any part of it may not be reproduced, framed, or exploited for any commercial purpose without our express prior written consent.

6. Account Registration

Certain features of the Site may require you to provide information. When you provide information to the Site, you agree to provide only true, accurate, current, and complete information. You are responsible for maintaining the confidentiality of any account credentials and for all activities that occur under your account. D&R Auto Shippers reserves the right to terminate your account or deny you access in its sole discretion without notice and without liability.

7. Use Restrictions

You agree not to:

Use the Site in any way that violates any applicable law or regulation
Use any robot, spider, scraper, or other automated means to access the Site without our prior written consent
Attempt to gain unauthorized access to any portion of the Site, other accounts, computer systems, or networks connected to the Site
Introduce any viruses, Trojan horses, worms, or other malicious code
Interfere with or disrupt the proper functioning of the Site
Use any portion of the Site to train or include in large language models, artificial intelligence technologies, or other machine learning tools
Attempt to probe, scan, or test the vulnerability of the Site or breach any security or authentication measures
Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Site

8. Third-Party Links and Content

The Site may contain links to third-party websites or services that are not owned or controlled by D&R Auto Shippers. We are not responsible for the content, privacy policies, or practices of any third-party websites. Your use of third-party websites is at your own risk and subject to those websites' terms and conditions.

9. User Content

If you submit or post messages, reviews, feedback, or other content ("User Content") through the Site, you grant D&R Auto Shippers a non-exclusive, unrestricted, worldwide, irrevocable, perpetual, transferable, and royalty-free license to host, use, copy, distribute, display, modify, and create derivative works of your User Content for any purpose. You represent that you own or have the necessary rights to submit such User Content. D&R Auto Shippers is not responsible for any User Content and may remove or refuse to post any User Content at our sole discretion.

10. Arbitration and Dispute Resolution

Binding Arbitration. Except for disputes relating to intellectual property or where injunctive relief is sought, you and D&R Auto Shippers each agree to resolve all disputes through binding arbitration rather than in court. The arbitration will be conducted by JAMS Inc. ("JAMS") under its Streamlined Arbitration Rules & Procedures before a sole arbitrator.

At least thirty (30) days before beginning an arbitration, the initiating party must send written notice by certified mail to the other party identifying the claims, the requested relief, and requesting arbitration. If an in-person hearing is required, it will take place in the Commonwealth of Massachusetts.

Class Action Waiver. Both you and D&R Auto Shippers waive the right to a trial by jury and the right to bring or resolve any dispute as a class, consolidated, representative, collective, or private attorney general action.

Opt-Out. You may opt out of this arbitration agreement by sending written notice to D&R Auto Shippers at 157 Pearl St, Framingham, MA 01702 within 30 days of first using the Site.

11. Disclaimer of Warranties

THE SITE AND SITE CONTENT ARE PROVIDED ON AN "AS IS," "AS AVAILABLE" BASIS. D&R AUTO SHIPPERS DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

12. Limitation of Liability

UNDER NO CIRCUMSTANCES WILL D&R AUTO SHIPPERS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, PUNITIVE, OR OTHER DAMAGES ARISING OUT OF OR IN ANY WAY RELATING TO THE SITE, YOUR SITE USE, OR THE SITE CONTENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. YOUR SOLE REMEDY FOR DISSATISFACTION WITH THE SITE IS TO CEASE USING THE SITE.

13. Indemnification

You agree to indemnify, defend, and hold D&R Auto Shippers and our affiliates, partners, carriers, employees, officers, and directors harmless from and against any and all liabilities, losses, damages, claims, fines, expenses (including reasonable attorney's fees), and costs related to your violation of these TOU or use of the Site.

14. Copyright (DMCA)

If you believe your work has been copied in a way that constitutes copyright infringement, please send a notice to contact@drautoshippers.net with the subject line "DMCA Takedown Notice" including: (1) identification of the copyrighted work claimed to have been infringed; (2) identification of the infringing material and its location on the Site; (3) your contact information; (4) a statement of good faith belief; and (5) a statement of accuracy under penalty of perjury.

15. Governing Law

These TOU shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to conflict of law principles. Any dispute not subject to mandatory arbitration under Section 10 shall be resolved in the state or federal courts located in the Commonwealth of Massachusetts.

16. Severability and Waiver

If any provision of these TOU is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these TOU will otherwise remain in full force and effect. The failure of D&R Auto Shippers to exercise or enforce any right or provision shall not operate as a waiver of such right or provision.

17. Termination

D&R Auto Shippers reserves the right to terminate your access to and use of the Site in its sole discretion, without notice and without liability, including if we believe your conduct violates these TOU. Upon termination, all rights granted to you under these TOU will cease immediately.

18. Entire Agreement

These TOU, together with our Privacy Policy and Terms of Service, constitute the entire agreement between you and D&R Auto Shippers regarding your use of the Site and supersede all prior or contemporaneous agreements, communications, and proposals.
